These Terms of Service ("Terms") govern your access to and use of CA Saathi (the "Service"), provided by Axxoraa Private Limited ("we", "our", "us"). By signing up for or using the Service, you agree to be bound by these Terms.

1. Definitions

• "Service" means the CA Saathi platform, including all features, tools, and content.
• "User" or "you" means the CA firm, its partners, employees, or staff who access the Service.
• "Client" means your end client, whose data you manage through the Service.
• "Content" means all data, documents, invoices, messages, and other materials you upload or create through the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using CA Saathi, you represent that you meet these requirements.

3. Account Registration

• You must provide accurate, current, and complete information during signup.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must notify us immediately of any unauthorised use of your account.

4. Subscriptions and Payment

• Free trial: New users receive a 30-day free trial. No credit card is required. After 30 days, you may choose a paid plan.
• Paid plans: Prices are listed on our Pricing page. All prices are in Indian Rupees (INR) and exclusive of 18% GST.
• Payment: Payments are processed securely via Razorpay. We do not store card or bank details.
• Auto-renewal: Paid plans auto-renew unless cancelled before the renewal date.
• Price changes: We may change prices with 30 days' notice. Continued use after the notice period means you accept the new price.

5. Refunds and Cancellation

• 30-day money-back guarantee on all paid plans.
• Refunds are processed within 5–7 business days.
• After 30 days, no refunds are issued, but you can cancel anytime and keep access until the end of your billing period.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of Indian law.
• Upload data you do not have the legal right to process.
• Attempt to reverse engineer, hack, or disrupt the Service.
• Use the Service to send spam, phishing, or unsolicited messages.
• Violate the DPDP Act or any other applicable data protection law.
• Resell, sublicense, or white-label the Service without our written permission.

7. Your Responsibilities

• Client consent: You are responsible for obtaining valid consent from your clients before entering their data into CA Saathi. You are the Data Fiduciary; we are the Data Processor.
• Accuracy: You are responsible for the accuracy of all data you upload.
• Compliance: You are responsible for compliance with all tax, GST, and legal obligations related to your clients.
• Backups: While we back up data, you should also maintain your own backups of critical documents.

8. Our Obligations

• We will provide the Service with reasonable skill and care.
• We will protect your data as described in our Privacy Policy.
• We will notify you of any material changes to the Service.
• We will provide support as described on our website.

9. Intellectual Property

• Our IP: All code, design, branding, logos, and documentation of CA Saathi are owned by Axxoraa Private Limited.
• Your IP: You retain all rights to your Content. By uploading Content, you grant us a limited licence to process it solely to provide the Service.
• Feedback: If you provide feedback or suggestions, we may use them without obligation to you.

10. Service Availability

We aim to keep CA Saathi available 24/7, but we do not guarantee uninterrupted service. We may suspend access for maintenance, updates, or reasons beyond our control. We are not liable for any loss caused by downtime.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, or consequential damages.
• We are not liable for any tax, GST, or legal penalties incurred by you or your clients.
• Our total liability to you for any claim is limited to the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Axxoraa Private Limited, its directors, and employees from any claims, damages, or expenses arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any law, including the DPDP Act.
• Any claim by your clients related to data you entered into the Service.

13. Termination

• You may cancel your account at any time from your dashboard.
• We may suspend or terminate your account if you violate these Terms.
• On termination, your data will be deleted within 30 days, subject to legal retention requirements.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Jharkhand, India.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes means you accept the updated Terms.
